Milano, 21 settembre 2006 – SGI ha annunciato l’approvazione da parte del tribunale
fallimentare del proprio Piano di Riorganizzazione che prevede l’uscita
dall’amministrazione controllata (U.S. Chapter 11) entro il mese di Ottobre 2006.
Durante l’udienza, il giudice della corte fallimentare americana del Southern District di
New York, Burton Lifland, ha decretato che SGI possiede tutti i requisiti necessari per
implementare il Piano di Riorganizzazione. Tutti i creditori hanno votato a favore del
Piano.
‘Questo e’ un grande giorno per SGI. Abbiamo lavorato molto in questi ultimi 5 mesi e
abbiamo raggiunto tutti gli obiettivi piu’ velocemente di quanto ci aspettassimo’ ha
dichiarato Dennis McKenna, CEO e Chairman di SGI. ‘La ricapitalizzazione
dell’azienda verra’ completata. Abbiamo saldato tutti i debiti, abbiamo aumentato la
nostra liquidita’ e stabilizzato il business. Inoltre abbiamo ottimizzato
significativamente i costi – circa 150 milioni di dollari su base annualizzata. Abbiamo
riorganizzato l’intera azienda con a capo un team di manager fortemente motivato che
eseguira’ questo piano. Un altro aspetto molto importante per la crescita dell’azienda e’
stato il riallineamento strategico del nostro portfolio prodotti. Voglio ringraziare tutti i
nostri clienti, commerciali e dipendenti per aver sostenuto l’azienda durante questo
periodo di transizione’.

posto le basi per recuperare quote di mercato e ampliare il business in Italia anche
attraverso le nuove soluzioni della linea Altix.
SGI ha inoltre annunciato di aver ricevuto l’autorizzazione l’a ricevere finanziamenti
externi. Le risorse finanziarie disponibili consistono in un prestito di 85 milioni di
dollari da parte della Morgan Stanley Senior Funding Inc. e in una linea di credito di 30
milioni di dollari da parte di General Electric Capital Corp. Questo capitale verra’
utilizzato per pagare i debiti esistenti, per gestire la distribuzione, secondo quanto
definito nel piano e per disporre del capitale per normali attivita’ aziendali.

MOUNTAIN VIEW, Calif. (September 19, 2006) — SGI (OTC: SGID) today announced that its Plan of Reorganization has received judicial confirmation, setting the stage for the company's emergence from Chapter 11 in October 2006.
At today's hearing, U.S. Bankruptcy Judge Burton Lifland for the Southern District of New York ruled that all the necessary requirements have been met for SGI to implement its Plan of Reorganization. Every voting class of creditors voted overwhelmingly in favor of the plan.
"This is a great day for SGI. We have accomplished so much in just five months, reaching our confirmation on the fast track that we expected," said Dennis P. McKenna, CEO and Chairman. "As we emerge, the recapitalization of the company will be complete. We have eliminated the legacy debt, improved our liquidity and stabilized the business. We have also taken out significant costs—$150 million on an annualized basis. We have re-engineered the company and have a strong leadership team that will be executing this plan. Also of significance to the growth of the company is that during this time, we retooled and aligned our product portfolio to the strategic direction of the company. I want to thank our customers, vendors and employees for supporting the company through this challenging period."
Today SGI also announced it has received commitments for exit financing. The financing facility consists of an $85 million term loan from Morgan Stanley Senior Funding Inc. and a $30 million line of credit from General Electric Capital Corp. that will be used to pay off the existing DIP financing, make distributions pursuant to the plan, and provide working capital for the Company's ongoing operations.
